CONFIDENTIALITY AGREEMENT AND RISK DISCLAIMER
This Confidentiality Agreement and Risk Disclaimer ("Agreement") is entered into as of the date of registration to join the Campfire Club ("Club") and is made by and between the Club and the member ("Member").
- Confidentiality Obligations:
(a) The Member understands and agrees that the information shared within the Club, including but not limited to any and all materials, strategies, concepts, techniques, methodologies, and trade secrets, is confidential and proprietary.
(b) The Member agrees not to disclose, distribute, or disseminate any confidential information belonging to the Club, its members or affiliates, to any third party without the prior written consent of the Club.
(c) The Member agrees to take all reasonable steps to safeguard the confidentiality of the information shared within the Club, including but not limited to not sharing any login credentials or allowing any third party access to the Club.
(d) The Member acknowledges that any breach of this confidentiality obligation may result in irreparable harm to the Club, and the Club shall be entitled to seek injunctive relief, in addition to any other remedies available to it.
- Risk Disclaimer:
(a) The Member acknowledges and understands that any information, advice, or recommendations provided by the Club, its members or affiliates, are not to be construed as professional or financial advice.
(b) The Member further acknowledges and understands that the information provided by the Club, its members or affiliates, may not be suitable for all individuals and that the success of any passive income program depends on various factors such as market conditions, individual effort, and personal circumstances.
(c) The Member acknowledges and assumes all risks associated with participating in any passive income program and agrees to hold the Club, its members or affiliates, harmless from any and all claims, damages, or losses arising from the Member's participation in any passive income program.
- Termination:
(a) The Club reserves the right to terminate this Agreement and the Member's access to the Club at any time, for any reason, with or without notice.
(b) Upon termination, the Member agrees to immediately cease all use of the Club's confidential information and to return or destroy any and all materials provided by the Club.
- Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Club is located.
- Entire Agreement:
This Agreement represents the entire understanding between the Member and the Club with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements between the parties.
IN WITNESS WHEREOF, the Member has agreed to the terms and conditions of this Agreement by registering to join the Campfire Club.
